1. Acceptance of Terms
By downloading, installing, or using the EMI Sathi application ("App") or any services provided by Fearless Software Solutions Pvt Ltd ("Company", "we", "our", or "us"), you agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our App or services.
2. About EMI Sathi
EMI Sathi is a mobile device management and EMI collection platform developed and operated by Fearless Software Solutions Pvt Ltd. The App provides the following core services:
- Remote mobile device locking for financed handsets
- EMI payment collection via QR code on the locked device screen
- Customer profile and payment history management
- Dealer and retailer dashboard analytics
- Device security and fraud prevention tools
3. Eligibility
The EMI Sathi Service App and Retailer App are intended for:
- Service App: Customers who have purchased a mobile device on EMI financing from an authorized EMI Sathi dealer. The app is installed on the financed device as part of the loan agreement.
- Retailer App: Registered dealers, retailers, and authorized distributors who have entered into a valid Dealer Agreement with Fearless Software Solutions Pvt Ltd.
You must be at least 18 years of age and legally capable of entering into a binding contract to use our services.
4. Device Locking and EMI Enforcement
As part of the EMI Sathi service:
- The Service App is installed on financed mobile devices with the full knowledge and written consent of the customer at the time of purchase.
- If an EMI payment is due and unpaid beyond the grace period specified in the loan agreement, the authorized dealer may remotely lock the device through the EMI Sathi Retailer App.
- When locked, the device will display an EMI payment screen with a QR code. The customer can unlock the device by making the due payment via QR scan or informing the dealer of cash payment.
- Emergency calling capabilities (dial 100, 108, or 112) remain functional on a locked device at all times.
- The Company is not liable for any loss or inconvenience arising from device locking due to missed EMI payments, as this is part of the agreed loan terms.
5. User Responsibilities
Retailers and Dealers must:
- Obtain clear written consent from customers before installing the Service App on financed devices.
- Use the device locking feature only as per the agreed EMI schedule — not for harassment or unlawful coercion.
- Maintain accurate customer records within the platform.
- Not share their Retailer App login credentials with unauthorized persons.
EMI Sathi App users must not:
- Attempt to tamper with, uninstall, or bypass the EMI Sathi Service App.
- Use counterfeit or fraudulent payment methods to unlock devices.
- Reverse engineer, decompile, or disassemble any part of the App.
6. Intellectual Property
All content, features, and functionality of the EMI Sathi App — including but not limited to design, trademarks, logos, text, graphics, and software — are the exclusive property of Fearless Software Solutions Pvt Ltd and are protected under Indian and international intellectual property laws. Unauthorized use is strictly prohibited.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Fearless Software Solutions Pvt Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the App, including loss of data, loss of revenue, or business interruption.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in West Bengal, India.
9. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes via the App or email. Continued use of the App after changes constitutes acceptance of the revised Terms.

Privacy Policy
1. Who We Are
This Privacy Policy applies to the EMI Sathi platform operated by Fearless Software Solutions Pvt Ltd, registered and operating in West Bengal, India. We operate the EMI Sathi Retailer App (Google Play) and EMI Sathi Service App (APK).
2. Information We Collect
A. From Retailers/Dealers (Retailer App users):
- Full name, business name, and registered address
- Mobile number and email address
- GST number and business registration details
- Device identifiers (IMEI numbers of financed handsets)
- Transaction and payment records
- Customer records entered into the system
B. From Customers (Service App users):
- Name, mobile number, and Aadhaar/PAN (for KYC, collected by the dealer)
- Device IMEI number of the financed handset
- EMI payment history and schedule
- Device location data (only when device locking is activated, for security purposes)
- App usage data for performance monitoring
3. How We Use Your Information
- To provide and operate the EMI Sathi platform and its features
- To enforce EMI payment schedules and facilitate device locking/unlocking
- To process payments and maintain transaction records
- To generate analytics and reports for dealers
- To communicate important updates, security alerts, and service information
- To comply with applicable Indian laws and regulatory requirements
- To prevent fraud, unauthorized access, and misuse of the platform
4. Data Sharing
We do not sell or rent your personal data to third parties. We may share data with:
- Authorized Dealers: Customer and device data is shared with the specific dealer who enrolled the customer.
- Payment Processors: For processing QR-based EMI payments securely.
- Government Authorities: When required by law, court order, or regulatory demand.
- Technology Partners: Cloud hosting and infrastructure providers bound by strict confidentiality agreements.
5. Data Storage and Security
All data is stored on secure servers located within India, in compliance with applicable Indian data protection laws. We implement industry-standard security measures including:
- AES-256 encryption for data at rest
- TLS/SSL encryption for data in transit
- Role-based access control for internal systems
- Regular security audits and penetration testing
6. Data Retention
We retain personal data for the duration of the loan agreement plus a maximum of 5 years thereafter, or as required by applicable law. After this period, data is securely deleted.
7. Your Rights
Under applicable Indian law, you have the right to:
- Access the personal data we hold about you
- Request correction of inaccurate data
- Request deletion of your data (subject to legal retention obligations)
- Withdraw consent for optional data processing

8. Cookies and Tracking
The EMI Sathi Apps use minimal data collection tools for performance monitoring and crash reporting. We do not use tracking cookies for advertising purposes.

Refund Policy
1. Scope
This Refund Policy applies to all payments made to Fearless Software Solutions Pvt Ltd for EMI Sathi platform subscriptions, dealer onboarding fees, and related service charges. It does not apply to EMI payments made by customers to retailers — those are governed separately by the individual loan agreement.
2. Subscription Fees for Dealers/Retailers
Eligibility for Refund:
- Within 7 days of payment: Full refund available if the platform was not activated or used on any customer device.
- Between 8–30 days: Proportional refund based on unused service period, minus a 15% processing fee.
- After 30 days: No refund shall be issued for subscription fees after 30 days of activation.
3. EMI Payments by Customers
EMI payments made by customers via QR code or cash are payments toward a mobile device purchase financing agreement. These payments are:
- Non-refundable once processed, as they are applied against the outstanding loan balance.
- Disputes over EMI payments must be raised directly with the authorized dealer within 48 hours of the transaction.
- In the event of a disputed payment, the customer may contact us at [email protected] with transaction proof.
4. Technical Errors
If a payment was charged twice or an amount was incorrectly deducted due to a technical error in the EMI Sathi platform, we will:
- Investigate the issue within 3 business days of receiving a complaint
- Issue a full refund of the duplicate/erroneous amount within 7–10 business days
- Provide confirmation via email or SMS once the refund is processed
5. How to Request a Refund
To request a refund, please contact us with the following information:
- Full name and registered mobile number
- Transaction ID / payment receipt
- Date and amount of payment
- Reason for refund request

6. Refund Processing Time
Approved refunds will be credited to the original payment method within 7–15 business days, depending on the payment gateway and bank processing times.
7. Non-Refundable Items
- One-time dealer registration and setup fees
- Custom development or integration charges
- Training and onboarding fees
- EMI payments applied to loan balances
Dealer Agreement
1. Parties
This Dealer Agreement ("Agreement") is entered into between:
- Company: Fearless Software Solutions Pvt Ltd, Ambikapur Mamudpur, Bajitpur – Sreepally Rd, Gopalnagar, West Bengal 743251
- Dealer: The registered individual or entity that has completed the EMI Sathi dealer onboarding process and accepted these terms.
2. Dealer Authorization
Upon successful registration and verification, the Company grants the Dealer a non-exclusive, non-transferable, revocable license to use the EMI Sathi Retailer App for the purpose of:
- Managing mobile device EMI financing for their customers
- Installing the EMI Sathi Service App on financed customer devices with customer consent
- Remotely locking devices of customers who have missed EMI payments, per the agreed schedule
- Collecting EMI payments and updating records in the platform
3. Dealer Obligations
The Dealer agrees to:
- Obtain written, informed consent from every customer before installing the Service App on their financed device. This consent must be documented as per the Company's provided consent form.
- Clearly explain the device locking mechanism to the customer before completing the sale.
- Use the locking feature only for legitimate EMI recovery — not for harassment, coercion, undue force, or any illegal purpose.
- Maintain accurate and complete customer records in the platform.
- Not misuse or share EMI Sathi platform credentials with unauthorized parties.
- Comply with all applicable Indian laws including Consumer Protection Act, 2019, and Reserve Bank of India guidelines on lending.
- Not modify, reverse-engineer, or copy any part of the EMI Sathi software.
4. EMI Schedule and Device Locking
- Device locking may only be initiated after the customer has missed a payment beyond the agreed grace period (minimum 3 days after due date, unless otherwise mutually agreed).
- Emergency services (Police: 100, Ambulance: 108, Fire: 101, Emergency: 112) must remain accessible on locked devices at all times. The Company's platform ensures this.
- Dealers may not lock devices of customers who are current on their EMI payments.
5. Fees and Payments
- Dealers are subject to the subscription and usage fees as specified in their individual onboarding agreement / pricing plan.
- Fees are billed monthly/annually and are non-refundable after 30 days (see Refund Policy).
- The Company reserves the right to revise pricing with 30 days' advance notice.
6. Termination
The Company may terminate a Dealer's access immediately and without notice if the Dealer:
- Violates any term of this Agreement
- Engages in fraudulent, unlawful, or unethical conduct
- Fails to pay subscription fees for more than 30 days
- Misuses the device locking feature in ways that harm customers
The Dealer may terminate this Agreement with 15 days' written notice to the Company.
7. Indemnification
The Dealer agrees to indemnify and hold harmless Fearless Software Solutions Pvt Ltd from any claims, losses, damages, or legal proceedings arising from the Dealer's misuse of the platform, breach of customer consent obligations, or violation of applicable law.
8. Governing Law and Dispute Resolution
This Agreement shall be governed by Indian law. Disputes shall first be attempted to be resolved through mutual negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Kolkata, West Bengal, under the Arbitration and Conciliation Act, 1996.
